Item 1.01 Entry into a Material Definitive Agreement.

On April 1, 2008, Horne International, Inc. (the "Company") borrowed $240,000 from Mr. Darryl K. Horne, the Company's President, Chief Executive Officer and Chairman of the Board. In return, Mr. Horne received from the Company a promissory note in the amount of $240,000. The note is payable upon demand and provides for interest at a rate of 8% per annum. Interest is payable quarterly beginning July 1, 2008. The note is unsecured. It is payable only in cash and is not convertible into any securities of the Company.





Item 2.03 Creation of a Direct Financial Obligation or an Obligation under an Off-Balance Sheet Arrangement of a Registrant.

On April 1, 2008, the Company borrowed $240,000 from Mr. Horne, the Company's President, Chief Executive Officer and Chairman of the Board. See disclosure under Item 1.01 for material terms of the loan.
