Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On September 18, 2007, the Company announced that Kevin Kyser, currently Executive Vice President, Finance and Accounting, has been promoted to Chief Financial Officer of the Company. Mr. Kyser, age 40, has served as as Executive Vice President, Finance and Accounting since March 2007. Prior to that time Mr. Kyser served in the following capacities - Senior Vice President, Chief Financial Officer – Commercial Group from April 2006 to March 2007; as Senior Vice President, Investor Relations from October 2001 to April 2006; and Vice President, Corporate Controller from April 1997 to October 2001. Mr. Kyser has not been directly or indirectly involved in any transaction, proposed transaction, or series of similar transactions with the Company required to be disclosed pursuant to Item 404(a) of Regulation S-K. On September 18, 2007 the Company issued a press release relating to certain of these matters, a copy of which is attached as Exhibit 99.1 hereto and is incorporated herein by reference.
