Item 8.01. Other Events.

On May 2, 2005, Arbitron Inc. (the "Company") announced that it has reached an agreement with VNU, Inc. to develop and deploy, by year end 2005, a national test marketing pilot panel of more than 6,000 U.S. households for the measurement of media return on investment to advertisers. As a result of this pilot panel test, the Company expects to incur up to approximately $11.3 million of additional expenditures in 2005, approximately $4.3 million of which would constitute expenses that have a direct impact on the Company’s net income and approximately $7.0 million of which would be capitalizable.
