Item 5.02.

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements with Certain Officers

On August 7, 2018, Ann E. Whitty informed Ampco-Pittsburgh Corporation (the “Company”) that she wishes to resign from the Company’s Board of Directors effective immediately, due to personal reasons. Ms. Whitty’s decision to resign is not related to a disagreement with, or any matter relating to the operations, policies or practices of, the Company. Ms. Whitty, age 60, has served on the Company’s Board of Directors since August of 2017.
