This Current Report on Form 8-K is filed by Hudson Pacific Properties, Inc., a Maryland corporation (referred to herein as the Company), in connection with the matters described herein.

On January 8, 2015, the Company and Canada Pension Plan Investment Board (CPPIB) issued a joint press release announcing that they have formed a joint venture through which CPPIB will purchase a 45% interest in the Companys 1455 Market Street office property for approximately $219.15 million before closing adjustments.
A copy of the press release is attached to this Current Report on Form 8-K as Exhibit 99.1.
