ITEM 7.01 REGULATION FD DISCLOSURE.

 

On May 17, 2005, Renasant Corporation issued a press release announcing the declaration of a quarterly cash dividend on its common stock of $0.22 per share payable July 1, 2005, to its shareholders of record on June 17, 2005. This reflects a $0.01 per share increase in quarterly cash dividends over the quarterly cash dividends paid in the prior quarter. The press release is furnished as Exhibit 99.1 to this Form 8-K.
