Item 2.02 Results of Operations and Financial Condition.
 
On January 24, 2008, Lantronix, Inc. (the “Company”) issued a press release announcing preliminary results for its second fiscal quarter ended December 31, 2007.  The full text of this press release is attached as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated by reference herein.
