Item 2.01 Results of Operations and Financial Condition

On January 16, 2007, Simulations Plus, Inc., a California corporation (the "Company"), issued a press release reporting financial results for the first fiscal quarter ending November 30, 2006. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.

On the same date, the company’s CEO presented a conference call for investors to review the financial results for the first fiscal quarter ending November 30, 2006. A copy of the PowerPoint slides used as notes for this call is attached hereto as Exhibit 99.2 and is incorporated herein by reference.
